Terms of service

These terms cover www.trycorpus.ai, the corpusAI API at api.trycorpus.ai, the corpusAI CLI and the machines they deploy (together, the service). The service is operated by Julian Traversa, trading as corpusAI (“corpusAI”, “we”). By signing in, deploying a machine or funding a position you accept these terms. If you do not accept them, do not use the service.

corpusAI Cloud Pricing at cloud.trycorpus.ai is a separate product with its own privacy policy and data license, published there.

What the service is today

corpusAI builds a service from a GitHub repository, runs it on a machine hosted on Fly.io, and redeploys it on each push to the branch you choose. You can restart a machine, roll it back to an earlier deploy and read its logs. A machine can be funded with a position: a one-time USDC deposit whose yield, as recorded on corpusAI’s ledger, pays the machine’s monthly cost.

The service is a private beta. Anyone can sign in with GitHub. Funding a position needs an invite code, and deploying a developer machine needs a developer code. Features, limits and prices can change during the beta, and the service may be unavailable at times.

Eligibility

You must be at least 18 and able to enter a binding contract. If you use the service for an organization, you confirm that you are authorized to accept these terms for it. You may not use the service if you are the target of sanctions, or where using it would break the law that applies to you.

Your account

You sign in with GitHub. You are responsible for what happens under your account and under any CLI tokens you create, and for keeping them secure. If you think your account has been misused, write to hello@trycorpus.ai promptly.

GitHub access

Signing in asks GitHub for your profile and email addresses (the read:user and user:email scopes). To deploy from a repository, you install the corpusAI GitHub App on the repositories you choose. The app has read-only access: corpusAI lists those repositories and clones the code to build it, and never writes to them. You can remove the app or revoke sign-in access in your GitHub settings at any time; corpusAI can then no longer read those repositories.

Funding a position

  • Positions are funded in USDC on Ethereum mainnet only. Card payment is not available.
  • The price to fund a machine is quoted by corpusAI as P = k · C / r, where C is the machine’s annual cost, r is the net yield rate used for underwriting and k is the buffer multiplier. The amount in your checkout is the price. Network fees for your transfer are yours.
  • Each checkout shows a deposit address and an exact amount. Send exactly that amount of USDC on Ethereum mainnet to that address. USDC sent on another network, or another token sent to the address, may be lost. A deposit that falls short keeps the checkout open until the remainder arrives at the same address. A deposit to the address of a canceled checkout is not credited automatically; write to us and we will resolve it by hand.
  • A position is created when the full amount is final on Ethereum, usually within about 15 minutes of the transfer.
  • The rate, the multiplier, the monthly cost and the notice period are recorded on your position when it is funded. Later changes to corpusAI’s prices or model do not change them.

Positions

A position is the funded endowment behind one machine. corpusAI’s ledger records it in two parts:

  • Principal, which is C / r. It is locked, and no ledger entry spends it on compute.
  • Buffer, the rest of the price. Each month, yield on the whole position is credited to the buffer and the machine’s monthly cost is paid out of it.

The ledger is corpusAI’s record of your position. It is not on-chain. The machine’s funding tab shows the principal and the current buffer balance.

Yield is not guaranteed

Yield comes from the venues the treasury is deployed to, and it varies. The figures corpusAI quotes, including the rate used for underwriting, are a model, not a promise. Yield can fall below the bill, and coverage can fall below 1.0. If the buffer cannot cover a month’s bill, the position is marked breached and that bill is not paid from it. We will contact you to resolve it, and we may stop the machine until it is resolved. The principal is not spent on compute in either case.

Top-ups

There is no self-serve top-up today. If a position needs more capital, for example after a breach or because the machine’s cost has changed, we will agree the amount and the deposit with you directly.

Custody

Each deposit address is a forwarder contract that can only send its balance to corpusAI’s treasury, a Safe on Ethereum controlled by the operator. The operator deploys treasury funds to third-party yield venues, withdraws them, and sends payouts. While your capital is in the treasury, you are relying on corpusAI to hold and operate it.

The venues are on-chain protocols with smart-contract, protocol and liquidity risk, and some pay a higher rate for absorbing losses first. A loss at a venue can reduce what is returned to you. Nothing insures the treasury, and the ledger does not model venue losses.

Not an investment

corpusAI sells compute. A position exists to pay one machine’s bill, and it is not offered as an investment. We make no promise of yield, return or profit, and nothing corpusAI publishes is financial, tax or legal advice.

Withdrawals

  • You can request withdrawal of an active position from the machine’s funding tab, giving an Ethereum address to receive USDC.
  • The payout is the principal plus the buffer balance on the day it is paid. The amount shown when you request it is an estimate, because the monthly bill keeps being paid during the notice period.
  • The payout is due 91 days after the request, the notice period recorded on your position. That date is the earliest, not a guarantee: a venue’s redemption queue can delay it, and we will pay once the funds are in hand.
  • The machine keeps running during the notice period. When the payout is sent, the position closes and the machine stops permanently.
  • A request is final. It cannot be canceled once made. If the position is breached during the notice period, the request is canceled and we resolve the position with you directly.
  • Payouts go to the address you give, and a transfer to a wrong address cannot be reversed. Check it before you submit.
  • A funded machine cannot be deleted. Withdrawal is how a funded machine winds down.

Developer machines

With a developer code you can deploy a machine without funding it, to try the service. Developer machines are paid for by corpusAI, have no position, and are deleted, with their deploys and build logs, 48 hours after they are created. Do not keep anything on one that you need. Machines that are neither funded nor developer machines do not run.

Acceptable use

You may not use the service to:

  • break the law, or infringe anyone’s rights;
  • host or distribute malware, phishing, spam, or material that sexually exploits minors;
  • attack, scan or disrupt other systems, or send denial-of-service traffic;
  • mine cryptocurrency;
  • get around the invite gate, rate limits or other access controls, or test the service for vulnerabilities without first agreeing it with us at hello@trycorpus.ai;
  • resell the service without our written agreement.

Machines run on Fly.io, so anything Fly.io’s acceptable use policy prohibits is prohibited here too.

Your code and data

You keep all rights in the code you deploy. You give corpusAI permission to copy, build, store and run it only as needed to provide the service. You are responsible for what your code does, the data it handles, and its compliance with the law and with the licenses of what it uses. A redeploy replaces the machine’s filesystem, and corpusAI does not back up data on a machine.

Suspension and termination

We may stop a machine or suspend an account if it breaks these terms, puts the service or other people at risk, or if the law requires it. Where we can, we will tell you first. If we stop offering the service, or end your use of it, we will return each open position’s principal and buffer balance to an address you give, through the withdrawal process above. You can stop using the service at any time by withdrawing your positions and deleting your unfunded machines.

No warranty

The service is a beta and is provided as is and as available, without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose and non-infringement. We do not warrant that machines will run without interruption, that deploys will succeed, or that any level of yield will be achieved.

Limitation of liability

To the extent the law allows, corpusAI is not liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue, data or goodwill. Apart from paying out positions as these terms describe, corpusAI’s total liability for all claims relating to the service is limited to 100 US dollars. Nothing in these terms limits liability that the law does not allow to be limited.

Changes to these terms

We may change these terms by publishing a new version at www.trycorpus.ai/terms with a new effective date. If a change materially affects funded positions, we will tell you by email before it takes effect. The terms recorded on an existing position (its rate, multiplier, monthly cost and notice period) do not change. Using the service after a change takes effect means you accept it.
